Introduction and Acceptance of Terms

Welcome to Poppermint, a student-driven service marketplace. These Terms of Use ("Terms") govern your access to and use of the Poppermint website and platform. By creating an account or using Poppermint to offer or book services/products, you agree to these Terms. If you do not agree, you must not use the platform. We may update these Terms from time to time, and will notify users of any significant changes. Continuing to use Poppermint after changes are posted means you accept the revised Terms.

 

About Poppermint Marketplace

 

Poppermint is a venue connecting student Sellers with Customers. We do not directly offer or perform any services or create products listed on our site. Instead, independent student users ("Sellers") create listings for services or handmade/digital products, and other users ("Buyers" or "Customers") can browse and book these offerings. Poppermint is only a marketplace platform – we are not a service provider, employer, or contractor for the services listed. Any agreement for a service or sale is solely between the Buyer and Seller.

Important: Because Poppermint is not a party to the contracts between Buyers and Sellers, we do not control and are not responsible for the quality, safety, legality, or fulfillment of any service or product listed. Sellers are independent providers, not employees or agents of Poppermint. Poppermint does not endorse any particular Seller or listing. We simply facilitate connections and payments.

 

Account Registration and Eligibility

 

To use Poppermint, you must create a user account and meet our eligibility requirements:

  • Age Requirement: You must be at least 18 years old (or the age of majority in your jurisdiction) to register an account. Poppermint is intended for adult student entrepreneurs and their customers. We do not allow minors to hold an account or enter into transactions.

  • Student Sellers: If you register as a Seller offering services or products, you represent that you are a current or recent student (e.g., college/university) aged 18 or older. Buyers (customers) must also be 18+ to book services.

  • Account Information: You agree to provide accurate, current, and complete information during registration and to keep your account information updated. This includes a valid email, your name, and any required verification of student status if requested.

  • One Account Per Person: Each user may maintain only one account. Do not create multiple accounts or false identities. Impersonation of others or providing fake information is prohibited.

  • Account Security: You are responsible for maintaining the confidentiality of your account login credentials. Do not share your password or give others access to your account. If you suspect any unauthorized use of your account or a security breach, notify Poppermint immediately. You are liable for all activities conducted through your account.

  • Account Use: You agree to use your account only for personal use in connection with the marketplace. Commercial use (aside from offering your personal services/products as a Seller) or transferring your account to someone else without our permission is not allowed.

  • Suspension/Termination: Poppermint reserves the right to suspend or terminate your account if you violate these Terms or engage in any improper or fraudulent activity. We may also refuse future use of the platform to anyone who has been removed for violations.

 

By registering, you also agree to our Privacy Policy regarding how we collect and use your personal information. (See Privacy section below.)

 

Seller Terms and Responsibilities (For Student Sellers)

 

If you are a student offering services or products on Poppermint ("Seller"), you have additional responsibilities:

  • Legal and Safe Services: You agree to offer only legal services or items that comply with all applicable laws and regulations. You are solely responsible for ensuring that your service or product is safe, lawful, and as described. For example, do not list anything that is illegal, hazardous without proper precautions, or that you are not qualified or licensed to provide (if a license is required by law).

  • Accuracy of Listings: You must create listings that are truthful, clear, and complete. Provide details about the service or product, pricing, what’s included, location (if applicable), availability, and any requirements for the Buyer. Do not misrepresent your skills, qualifications, or the nature of what you offer. Include any terms specific to your gig (e.g., how long a task will take, materials needed, etc.).

  • Pricing and Payments to Sellers: As a Seller, you set a base price for each service or product. Poppermint will add a 15% commission on top of your price (see Fees and Payments below), but you will always receive 100% of the price you set. After a Buyer purchases your service/product, Poppermint will process the payment and later release your earnings (your full price) to you. Ensure that your payout information (such as bank or payment account details) is accurate to receive funds.

  • Delivering Services/Products: You agree to deliver the service or product as promised once a Buyer places an order. For services, communicate with your customer to schedule and perform the task at the agreed time and location. For products, arrange delivery or shipping as described in your listing. Complete the order in a timely, professional manner.

  • Independent Contractor Status: As a Seller on Poppermint, you are an independent contractor. You are not an employee, agent, or representative of Poppermint. You provide services in your personal capacity, and you are responsible for your own actions and business obligations. This means, for example, you are responsible for any taxes on your income from Poppermint, and you are responsible for obtaining any insurance or licenses required by law for the services you offer. Poppermint does not withhold taxes or provide benefits, and we do not supervise how you perform your work.

  • Compliance and Behavior: You must comply with Poppermint’s rules and policies when interacting with Buyers. Be professional and courteous. Harassment, discrimination, or inappropriate behavior towards customers (or anyone) is strictly prohibited. If meeting in person, do so in a safe manner. Do not engage in any fraudulent activities (such as accepting payment outside the platform, see Fees and Payments).

  • Listing Content Ownership: You retain ownership of the content you post in your listings (descriptions, images, etc.), but you grant Poppermint a license to use that content for operating and promoting the marketplace. (See Intellectual Property below.) Ensure you have the rights to any images or text you use in your listing. Don’t upload content that infringes someone else’s intellectual property or privacy.

  • Right to Remove Listings: Poppermint reserves the right to modify or remove any listing that violates these Terms, contains prohibited content, or for any reason at our discretion. We may also edit or ask you to edit listings for clarity or to fit our guidelines. We will typically inform you if your listing is removed or needs changes, but reserve the right to act immediately in urgent cases (e.g., illegal content).

 

Buyer Terms and Responsibilities (For Customers)

 

If you are browsing and booking services or products on Poppermint as a Buyer/Customer, please note the following:

  • Booking Services and Purchasing Products: When you find a service or product you want, you can place an order through the Poppermint platform. You may need to provide details or preferences to the Seller (for example, preferred scheduling for a service). You are entering into a direct agreement with the Seller to receive that service or product. Poppermint will charge you the listed price (which includes the Seller’s price plus a 15% platform fee) and a small service fee at checkout (see Fees and Payments). Ensure you review the listing details and price breakdown before confirming your purchase.

  • Payment Obligation: By booking a service or placing an order, you agree to pay the total amount shown at checkout, which includes the item price, Poppermint’s commission (15%), and the flat $2.99 service fee. All payments must be made through the Poppermint platform – do not pay Sellers in cash or off-platform, as this violates our terms and voids any Poppermint protection (and the Seller may be removed for fee avoidance).

  • Communication and Cooperation: After booking, communicate with the Seller through Poppermint’s messaging system to arrange details (e.g., schedule, delivery address, any specifics of the task). Provide any information the Seller needs to complete the service. For in-person services, ensure a safe environment for the Seller to perform the task (for instance, if they are coming to your home for yard work or tech setup, have any required permissions or preparations done). Treat Sellers respectfully and arrive on time or be ready for the service as scheduled.

  • User Conduct: As a Buyer, you also must adhere to Poppermint’s general conduct rules. Harassment, abusive language, or discriminatory behavior toward Sellers is not allowed. Keep communications and requests appropriate and related to the service. Do not ask Sellers to do anything illegal or against Poppermint policies.

  • Satisfaction and Issues: If you are unsatisfied with a delivered service or product, or if any issue arises (e.g., the Seller did not show up, the service was not as described, or a product arrived damaged), you should first communicate with the Seller to try to resolve the matter. Most Sellers will want to make things right. If you cannot reach a resolution, you can initiate a dispute through Poppermint (see Dispute Resolution below). Remember that Poppermint itself does not guarantee the outcome or quality of any service, but we will help facilitate a resolution when possible.

  • No Off-Platform Deals: To protect all parties, do not attempt to circumvent Poppermint by arranging with Sellers to do tasks or payments outside the platform. This is for your safety and ensures that transactions are documented and eligible for support if something goes wrong. If a Seller asks you to pay them outside Poppermint (to avoid fees), please refuse and report this to Poppermint support.

 

Fees, Commission, and Payment Terms

 

Poppermint sustains its marketplace through a transparent fee system. By using the platform, you acknowledge and agree to the following fees and payment terms:

  • Listing Price and Commission (15%): Sellers set a base price for each service or product. Poppermint adds a 15% commission fee on top of the seller’s price, which is visible to Buyers as part of the total listing price. For example, if a student lists a service for $100, the platform will display it to Buyers as $115 (which includes the 15% Poppermint commission). Sellers receive 100% of their base price (in this example, the student would get $100). The 15% commission is paid by the Buyer and retained by Poppermint for providing the platform and services.

  • Service Fee ($2.99): Poppermint also charges a flat $2.99 service fee on each purchase at checkout. This fee is added per transaction (not per individual item if multiple items are in one order) and helps cover payment processing and customer support costs. The service fee will be clearly shown at checkout before you confirm payment.

  • Payment Processing: When a Buyer makes a purchase, their payment (including base price, commission, and service fee) is collected via our third-party payment processor. Poppermint holds the funds until the service is completed or the product is delivered, at which point the Seller’s earnings (base price amount) will be released to the Seller. Poppermint may require Sellers to provide necessary information to comply with payment regulations (such as identity verification or tax information) before releasing payouts.

  • Taxes: Sellers are responsible for determining and paying any applicable taxes (e.g., income tax on earnings, or sales tax/VAT that might apply to the sale of products or certain services). Poppermint may charge tax on the service fee or commission as required by law, depending on your jurisdiction. We do not withhold taxes from Sellers’ earnings, so Sellers should manage their own tax obligations. Poppermint collects taxes on behalf of the government (HST on service fees).

  • No Circumvention: All transactions for services or products offered on Poppermint must be completed through the Poppermint platform. Buyers and Sellers agree not to circumvent the platform by paying or receiving payments outside of Poppermint for listings found on Poppermint. If a user is found to be bypassing our payment system, their account may be suspended or terminated. Keeping transactions on-platform ensures that both parties are protected under these Terms and eligible for dispute resolution and support.

  • Refunds and Cancellations: If a job or order is canceled (whether by mutual agreement, through a dispute outcome, or due to a no-show or other issue), Poppermint will typically refund the Buyer for any amounts paid, excluding any portion already paid out to the Seller (if the service was completed) and subject to our Dispute Resolution policies. The commission and service fee are generally refundable to the Buyer if the service/product was not delivered at all or if the order is canceled prior to completion. Specific refund eligibility may depend on timing and circumstances (see below). Sellers agree that Poppermint may deduct refunded amounts from their pending earnings or require reimbursement if they were already paid for a service that was later refunded to the Buyer.

  • Pricing Changes: Poppermint reserves the right to adjust its commission rate or service fee in the future, but any changes will not affect transactions that have already been placed. We will update these Terms and notify users of fee changes when applicable. All fees are stated in USD (unless otherwise noted) and are non-negotiable.

 

Prohibited Content and Activities

 

We strive to keep Poppermint a safe, lawful, and respectful marketplace. All users (Sellers and Buyers) must adhere to the following rules and must NOT engage in any prohibited content or activities on the platform:

  • Illegal or Unsafe Services/Products: Do not offer or request any service or item that is illegal, violates any law/regulation, or poses undue safety risks. This includes (but is not limited to) illicit substances, weapons, illicit financial schemes, or services requiring professional licenses that you do not possess. Sellers are responsible for ensuring they follow all local laws (for example, food sellers must comply with health/safety regulations, and someone offering drone photography must obey aviation rules).

  • Fraudulent or Misleading Content: All information in your profile, listings, or communications must be truthful. Do not post false, misleading, or deceptive information. This includes making false claims about your experience or a service’s benefits, or posting photos of work that is not your own. Likewise, Buyers should not misrepresent their needs or intentions (for example, booking a service under false pretenses).

  • Inappropriate or Obscene Material: Poppermint is not a place for pornographic, extremely graphic, or otherwise highly inappropriate content. Do not list services of a sexual nature, or use obscene/offensive language or images in listings or messages. We also prohibit content that promotes hate, violence, or discrimination against any group.

  • Harassment and Discrimination: Treat others with respect. Do not harass, stalk, or bully any user. Discriminatory behavior or refusing service to someone on the basis of protected characteristics (race, religion, gender, etc.) is not allowed. Sellers have the right to decline a task for valid reasons (e.g., it's outside their skillset or they feel unsafe), but not due to unlawful discrimination.

  • Spam and Unsolicited Advertising: The messaging tools on Poppermint should be used only for communicating about Poppermint bookings. Do not spam users with unrelated offers, advertisements, or requests to review off-platform products. Also, do not post links in listings or messages that drive users to external sites for purchase (attempting to bypass Poppermint).

  • Privacy and Personal Data: Respect privacy. If you learn personal information about another user through a transaction (such as a phone number or address for a task), use it only for that transaction. Do not misuse or share someone else’s personal data. Likewise, do not post personal contact details in public areas of your profile or listings (to prevent off-platform contact and protect privacy). Poppermint may monitor communications on the platform to ensure safety and compliance with these Terms.

  • Interference and Site Integrity: Do not engage in activities that could harm the Poppermint platform. This includes introducing viruses or malicious code, attempting to hack or gain unauthorized access to our systems or other users’ accounts, or using bots/scripts to scrape data or overload the site. Any attempt to undermine the security or integrity of Poppermint’s services is prohibited.

  • Unauthorized Use of Intellectual Property: Do not upload or sell content that you don’t have rights to. For instance, Sellers shouldn’t use copyrighted images, logos, or text in their listings without permission. If you’re selling a digital product (like an eBook or design), ensure it’s your original work or you have the rights to sell it. Buyers likewise shouldn’t ask Sellers to do work that infringes third-party rights (e.g., asking for a logo that copies a trademark).

  • Reporting Violations: If you see content or behavior that violates these rules, please report it to Poppermint through our support channels. We will investigate and take appropriate action. All users are expected to cooperate with any Poppermint investigation of abuse or violation.

Enforcement: Poppermint may remove any content that violates these guidelines or suspend/terminate accounts engaged in prohibited activities, at our sole discretion. We aim to warn users and allow correction for minor issues when possible, but severe or repeated violations can result in immediate account removal.

 

Dispute Resolution and Issue Handling

 

While we hope every transaction on Poppermint goes smoothly, we have a process to handle disputes or issues between Buyers and Sellers:

  • Communicate First: If a problem arises (e.g., a service wasn’t delivered as expected, a product is missing or not as described, or either party has a complaint), we strongly encourage Buyers and Sellers to communicate with each other through the platform messaging to try to resolve the issue. Many misunderstandings can be cleared up with clear communication. Sellers should be responsive to customer concerns and strive to fix any issues; Buyers should be reasonable with their expectations as long as the service matches the listing.

  • Initiating a Dispute: If direct communication does not resolve the problem, either party can contact Poppermint Support to initiate a formal dispute. This should be done within a reasonable time frame – for example, within a few days of the service date or product delivery. When filing a dispute, provide as much detail as possible: the order number, the issue at hand, and any supporting evidence (photos of a product issue, screenshots of communication, etc.).

  • Poppermint Mediation: Poppermint may, at our discretion, step in to mediate the dispute. Our team will review the case details, communications on the platform, and the original listing terms. We may ask both Buyer and Seller for additional information or clarifications. While we will attempt to help find a fair resolution, Poppermint is not an arbitrator or guarantor of a particular outcome. Our role is to facilitate a mutually agreeable solution if possible.

  • Resolution Outcomes: Possible outcomes of a dispute may include, by Poppermint’s decision or mutual agreement:

    • A partial or full refund to the Buyer (and corresponding deduction from Seller’s payment, if already released).

    • Allowing the Seller to re-do the service or replace the product at no extra cost to the Buyer.

    • No action or no refund if we determine the service was delivered according to the listing or the dispute lacks merit.

    • In some cases, a credit on Poppermint may be offered to the Buyer for future use, as an alternative to a cash refund.

  • Platform Decision: If Buyers and Sellers cannot reach an agreement, you agree that Poppermint’s decision on the dispute (after reviewing evidence) will be final and binding with respect to any platform actions (like issuing refunds or adjusting payouts). We base our decisions on these Terms, the listing description, and the communications between parties.

  • Chargebacks: Buyers agree to avoid filing chargebacks or payment disputes with their bank/credit card without first following the steps above. If you initiate a chargeback after a Poppermint transaction, we will consider it a breach of these Terms if you didn't give us a chance to resolve the issue. Sellers should also note: if a Buyer’s payment is charged back by their bank, Poppermint may reclaim the amount from the Seller if the Seller was paid out, depending on the situation.

  • Fraud and Protection: In cases of suspected fraud or safety issues (for example, a Seller taking payment and not delivering anything, or a Buyer fraudulently claiming non-delivery), Poppermint may immediately intervene. We may issue refunds or cancel transactions at our discretion in such cases to protect users and the integrity of the marketplace. Serious rule violations by either party may result in account suspension (see Termination below).

  • No Poppermint Liability: While we assist in disputes, Poppermint is not responsible or liable for the underlying issue between the Buyer and Seller. We do not guarantee a resolution that satisfies both parties. Any remedy beyond those described (like additional compensation or damages) would have to be pursued between Buyer and Seller directly. Our goal is to facilitate a fair outcome within the platform’s scope.

 

Intellectual Property Rights

 

This section addresses ownership of content and intellectual property on the platform:

  • User-Generated Content: As a user (Seller or Buyer), you may provide content on Poppermint – for example, listing descriptions, profile information, photos, reviews, and messages. You retain ownership of the intellectual property rights in the content you create and submit. However, you grant Poppermint a worldwide, royalty-free, sublicensable license to use, reproduce, modify, and display this content as needed to operate and promote the marketplace. For instance, we might display your listing images on our site, or use snippets of a great review in marketing. This license ends when you remove your content from the platform, except to the extent others have already seen or shared it, or we’re required to keep it for legal reasons.

  • Poppermint’s Content: The Poppermint platform itself contains content and materials that we own or license, such as our logo, branding, site design, text, graphics, and any software or code. These are protected by intellectual property laws. You may not copy, distribute, or create derivative works from Poppermint’s proprietary content without our express permission. Using our platform does not give you any ownership of our IP or rights to use the Poppermint name or logos (except as necessary for you to use the service in accordance with these Terms).

  • Trademarks: "Poppermint" and our logos or slogans are trademarks of our company. You agree not to use them in any way that could cause confusion about who owns or operates the platform, without written permission.

  • Infringement Policy: We respect intellectual property rights and expect users to do the same. If you believe something on Poppermint infringes your copyright or other IP rights, please notify us with details (per our DMCA/Copyright policy, if available). We will investigate and remove or disable content found to be infringing. Repeated IP violations by a user may result in account termination.

  • Feedback: If you send us suggestions or feedback about Poppermint (such as ways to improve features), you agree that we can use and implement that feedback without any compensation to you, and that we own any resulting changes or new features.

 

Privacy and Data Use

 

Your privacy is important to us. Poppermint’s Privacy Policy (available on our website) explains how we collect, use, and protect your personal information. By using the platform, you agree to the terms of the Privacy Policy. Key points include:

  • Poppermint complies with the Personal Information Protection and Electronic Documents Act (PIPEDA) in handling user information. Your data is collected, stored, and used in accordance with Canadian privacy standards.

  • We collect information you provide (like profile details, listings, messages) and information from your use of the site (transactions, reviews, etc.). This data is used to operate and improve the marketplace, facilitate transactions, and for customer support.

  • We share necessary information between users to complete transactions. For example, when you book a service, the Seller will receive your first name and any relevant details (and possibly contact info like phone or address if needed for the task). Sellers, by using the platform, agree to treat any Buyer information confidentially and use it only for the purposes of fulfilling the service.

  • Poppermint may send you communications related to your transactions or account (notifications, receipts, updates). We might also send marketing communications, from which you can opt out.

  • We implement security measures to protect your data, but you are also responsible for using strong passwords and keeping your login safe (see Account Security above).

Disclaimer of Warranties

 

Poppermint provides the marketplace platform "as is" and "as available". While we strive to maintain a reliable and safe service, we make no guarantees or warranties about the platform or any content on it. This includes:

  • No Warranty on Services/Products: Poppermint does not guarantee the quality, safety, legality, or reliability of any service or product offered by Sellers. Any outcomes or satisfaction from a service are between the Buyer and Seller. Sellers do not represent Poppermint, and we do not warrant that a service will meet your expectations or that a product will be to your liking.

  • Platform Uptime and Accuracy: We do not promise that the Poppermint site will be error-free, uninterrupted, or secure at all times. We may experience occasional downtime, bugs, or technical issues. We will try our best to fix issues, but we can’t guarantee the platform will be available 24/7 or that it will be free of viruses or other harmful components. Use the site at your own risk, and use up-to-date software protections (like antivirus).

  • Data Accuracy: While we require users to provide truthful information, Poppermint does not independently verify all content. We make no warranty that user-provided information (including listings or reviews) is accurate or true. Use your judgment and common sense when choosing to hire someone or perform a job.

  • No Implied Warranties: To the fullest extent allowed by law, we disclaim any implied warranties or conditions of merchantability, fitness for a particular purpose, non-infringement, and any other implied assurances. In short, we do not formally promise that the platform will meet all of your needs or that it won’t have any issues.

Some jurisdictions do not allow the exclusion of certain warranties, so some of these disclaimers may not apply to you. In such cases, our warranties are limited to the minimum extent permitted by law.

 

Limitation of Liability

 

Poppermint’s liability to you is limited. By using the platform, you understand and agree that:

  • No Liability for User Conduct: Poppermint is not responsible for the conduct, whether online or offline, of any Buyer, Seller, or other user of the platform. We simply facilitate introductions and transactions. Any disputes, injuries, or damages that occur during or as a result of a service/product are ultimately between the Buyer and Seller. For example, if you are a Buyer and a Seller damages your property, or if you are a Seller and you get injured on a job, Poppermint is not liable for those issues. We encourage safe practices and provide a dispute process, but we can’t accept liability for actions of individuals on the platform.

  • Limit on Indirect Damages: Poppermint will not be liable for any indirect, incidental, consequential, special, or punitive damages. This includes any loss of profits, loss of data, personal injury, or property damage arising out of or related to your use of Poppermint or any service booked through Poppermint. For example, we are not liable for any emotional distress or lost opportunities or any damage that was not reasonably foreseeable by us.

  • Limit on Amount: To the extent we are found liable for anything despite the above (whether arising in contract, tort, or otherwise), our total liability is capped at the greater of: (a) the total fees (commission and service fees) you paid to Poppermint in the past three months for the transaction in question, or (b) $100 (USD). This cap applies per claim and in aggregate.

  • No Liability for Force Majeure: Poppermint is not responsible for failures or delays in performing our obligations if they result from events beyond our control, such as natural disasters, war, acts of terrorism, strikes, technical outages, or governmental action.

  • Your Responsibility: You use Poppermint at your own risk. You agree that if you have a dispute with one or more users or third parties, Poppermint is not responsible for any claims or damages arising out of or connected with such disputes. You release Poppermint, its officers, employees, and affiliates from any claims, demands, and damages arising from disputes among users of the platform.

Some jurisdictions do not allow certain limitations of liability, so the above limits may not apply to you fully. However, our liability is limited to the maximum extent permitted by law.

 

Indemnification

 

You agree to indemnify and hold Poppermint harmless from any claims, lawsuits, liabilities, damages, or expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Poppermint platform or services/products obtained through it,

  • Your breach of these Terms or any policy that is part of these Terms,

  • Your violation of any law or regulation, or the rights of any third party, in connection with your use of Poppermint,

  • Any content you provide or actions you take on the platform (including, for Sellers, the services/products you offer and provide, and for Buyers, your conduct and requests).

This means if another party (including a government agency) sues or fines Poppermint because of something you did, you’ll step in to defend Poppermint and pay any costs or damages. We will notify you of any such claim and may require you to promptly assist in our defense. We reserve the right to handle our legal defense as we see fit, including choosing our counsel, and you agree to cooperate with us.

 

Termination of Use; Removal of Content

 

Both you and Poppermint have the right to end our relationship at any time:

  • By You: You may stop using Poppermint at any time. If you wish to delete your account, you can do so through your account settings or by contacting support. Keep in mind that closing your account will not automatically cancel any active orders; you’ll need to resolve those before exiting. Also, certain information (like transaction records) may be retained for legal reasons.

  • By Poppermint: We may suspend or terminate your account or access to certain features at any time for any reason, including if we believe you have violated these Terms or any policies, or if you create risk or possible legal exposure for us or other users, or if we simply decide to discontinue the platform. We will try to notify you of the reason for termination/suspension unless we are legally prevented or it involves misconduct that we choose not to discuss publicly.

  • Effect of Termination: If your account is terminated (by you or us), you no longer have a right to use the platform or access your account. However, any pending obligations must still be fulfilled: for example, if you, as a Seller, owe a delivery to a Buyer, or as a Buyer, owe payment for a completed service, termination does not by itself eliminate the responsibility to complete that transaction or an obligation to pay amounts due. Sections of these Terms that by their nature should survive termination (such as Fees owed, Dispute Resolution, Limitation of Liability, Indemnification, etc.) will continue to apply.

  • Content Removal: Upon termination or at any time, Poppermint may remove or discard any content you have contributed (including your listings, profile, etc.). We are not obligated to keep copies of your content or to provide them to you after termination. We generally retain transaction records for at least the legally required duration.

  • Right to Remove or Modify Listings: Even without terminating an account, Poppermint reserves the right to remove, modify, or disable any specific listing or user-posted content that violates these Terms or for any other reason in our sole judgment (as noted earlier in Seller Responsibilities). We might also filter or block certain content on the site (for example, obscuring profanity or blocking spam messages) to enforce our guidelines.

 

Modifications to the Platform and Terms

  • Changes to Platform: Poppermint is an evolving service. We may add, change, or remove features or offerings on the platform at any time. We may also stop providing the platform entirely, or restrict access to certain areas or features, at our discretion. We will try to provide advance notice if any major changes will affect existing users, but this may not always be possible. Poppermint is not liable to you for any changes in availability of the marketplace or features.

  • Updates to Terms: We may revise these Terms of Use from time to time. When we do, we will update the "Last Updated" date (and if the changes are significant, we may also inform users via email or a notification on the site). It’s your responsibility to review any updated Terms. By continuing to use Poppermint after changes are posted, you are accepting the new Terms. If you do not agree to the revised Terms, you should stop using the platform.

  • Policy References: Additional policies or guidelines may apply to certain features (for example, a dispute resolution policy, or community guidelines). We may publish these separately on the site. Such policies are considered part of these Terms by reference. If there is a conflict between additional policies and these general Terms, the specific policy for that area will govern for that conflict.

 

Miscellaneous

  • No Waiver: If Poppermint doesn’t enforce a particular provision of these Terms in a given instance, it does not mean we waive our right to enforce it in the future. Any waiver of rights by Poppermint must be in writing to be effective.

  • Severability: If any part of these Terms is found to be invalid or unenforceable by a court or regulator, the rest of the Terms shall still apply. We can replace the invalid part with terms that, to the extent possible, accomplish the original purpose.

  • Governing Law: These Terms and your use of Poppermint shall be governed by and construed in accordance with the laws of the Province of Ontario and the applicable laws of Canada. You agree to submit to the exclusive jurisdiction of the courts located in Ontario for any legal proceeding arising out of or relating to these Terms. 

  • No Third-Party Beneficiaries: These Terms are between you and Poppermint. No other person or entity has rights to enforce these Terms, whether as a third-party beneficiary or otherwise.

  • Assignment: You may not transfer or assign your account or these Terms to anyone without our consent. Poppermint may assign its rights and obligations to others (for example, if we undergo a merger, acquisition, or sale of assets) at our discretion.

  • Entire Agreement: These Terms (along with any additional policies or guidelines we refer to) make up the entire agreement between you and Poppermint regarding your use of the marketplace. They supersede any prior agreements or communications.
